These Terms of Service ("Terms") govern your access to and use of carrington.cool and any related newsletters, memberships, and content (together, the "Service"), operated by Carrington Creative Studios, LLC ("Carrington Creative Studios," "we," "us," or "our"), a limited liability company organized in Maryland. By using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are

The Service is published by Carrington Creative Studios, LLC. You can reach us at hello@carrington.cool.

2. Eligibility

You must be at least 16 years old to use the Service or create an account. By using the Service you confirm that you meet this requirement and that the information you provide is accurate.

3. The Service

carrington.cool is a personal publication: essays, experiment notes, product updates, and a record of the companies built under Carrington Creative Studios. Free and paid subscription options may be offered. We may change, suspend, or discontinue free parts of the Service at any time. For paid memberships, material reductions to paid benefits will not affect the current paid period without notice, a refund, or another remedy required by law.

4. Accounts and subscriptions

If you subscribe, you are responsible for the activity under your account and for keeping your login and email access secure. You agree to provide accurate information and to keep it current. We may suspend or terminate accounts that violate these Terms.

5. Paid memberships and billing

Paid memberships, where offered, are billed through our payment provider as described in our Billing & Refund Policy. That policy is part of these Terms. Memberships renew automatically until cancelled, and you can cancel at any time as described there.

6. Acceptable use

When using the Service, you agree not to:

  • break any law or infringe anyone's rights
  • copy, scrape, republish, or redistribute our content except as allowed below
  • use automated tools to harvest content or member data
  • attempt to access accounts, systems, or data that are not yours
  • interfere with or disrupt the Service, or probe it for vulnerabilities without permission
  • upload anything unlawful, harmful, or malicious

7. Intellectual property

The Service and its content (text, design, graphics, and code) are owned by Carrington Creative Studios, LLC or its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-transferable license to access and read the content for your own non-commercial use. You may share links and short, attributed quotations. You may not otherwise reproduce, sell, or create derivative works from the content without our written permission.

8. Comments and contributions

If commenting or other contributions are enabled, you keep ownership of what you post but grant us a worldwide, royalty-free license to host, display, and distribute it within the Service. You are responsible for your contributions and must have the rights to post them. We may remove content at our discretion.

The Service references separate products, projects, and companies (including Kill the Body, SupaDupa, CoffeeBadger, and City of Consequences) and may link to third-party sites. Those products and sites have their own terms and privacy policies, and we are not responsible for them. Your use of any linked product is governed by that product's terms.

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. Content is for general information only and is not professional advice. See our Disclaimer for details.

11. Limitation of liability

To the fullest extent permitted by law, Carrington Creative Studios, LLC and its members will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of USD 100 or the amounts you paid for the Service through Stripe or directly to us in the twelve months before the claim, except where liability cannot be limited by law.

12. Indemnification

You agree to indemnify and hold harmless Carrington Creative Studios, LLC from third-party claims, damages, and reasonable expenses (including reasonable legal fees) arising from your unlawful use of the Service, your contributions, your infringement of another person's rights, or your material breach of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or end your access if you breach these Terms. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Maryland, and you consent to their jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will not apply retroactively. For paid memberships, material changes take effect after reasonable notice, and if you do not agree you may cancel before the change applies to your next billing period. We will update the "Last updated" date above.

If you believe content on the Service infringes your copyright, email hello@carrington.cool with: your contact information; identification of the copyrighted work; the allegedly infringing material and its URL; a good-faith statement that the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are authorized to act for the copyright owner; and your physical or electronic signature.

17. General

Severability. If any part of these Terms is found unenforceable, the remaining parts remain in effect.

Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, Disclaimer, and Billing & Refund Policy, are the entire agreement between you and us for the Service.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, sale of assets, or operation of law.

Force majeure. We are not responsible for delay or failure caused by events beyond our reasonable control.

Electronic communications. You consent to receive Service notices, billing notices, and legal notices electronically, by email or through the Service.
